1. Acceptance of Terms

Welcome to the Experior Pro Shop, accessible at experiorproshop.ca and experiorproshop.com (the “Store”). The Store is owned and operated by Experior Financial Group Inc. (“Experior”, “we”, “our”, or “us”), a corporation incorporated in Canada.

By accessing, browsing, or placing an order through the Store, you (“Customer”, “you”, or “your”) agree to be bound by these Terms and Conditions (“Terms”), our Privacy Policy, and any other policies referenced herein. If you do not agree to these Terms, you must not use the Store.

These Terms constitute a legally binding agreement between you and Experior Financial Group Inc. We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Store following any changes constitutes your acceptance of the revised Terms.

2. Eligibility

The Store is intended for use by:

  • Experior Financial Group licensed associates and agents
  • Branch managers and executive directors within the Experior network
  • Authorized staff and employees of Experior Financial Group Inc.
  • Members of the public purchasing branded merchandise

By using the Store, you represent and warrant that you are at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into a binding contract. If you are placing an order on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

3. Products and Merchandise

3.1 Product Descriptions

We make every effort to accurately display the products available on the Store, including descriptions, images, colors, and sizing information. However, we do not warrant that product descriptions, images, or other content are entirely accurate, complete, or error-free. Colors may vary slightly due to monitor calibration and printing processes.

3.2 Availability

All products are subject to availability. We reserve the right to discontinue any product at any time without notice. In the event that a product you have ordered is unavailable, we will notify you promptly and issue a full refund for that item.

3.3 Branded Merchandise

Products available through the Store include Experior Financial Group branded apparel, accessories, and promotional items. All branding, logos, and trademarks displayed on merchandise remain the exclusive intellectual property of Experior Financial Group Inc. Purchase of branded merchandise does not confer any license or right to use Experior’s trademarks outside of personal use.

3.4 Customization

Where customization options are available (such as name printing or personalized items), you are solely responsible for ensuring that the information you provide is accurate. Experior is not responsible for errors in customized orders resulting from incorrect information submitted by the Customer.

4. Pricing and Payment

4.1 Pricing

Prices are displayed in Canadian Dollars (CAD) on the Canada store and in US Dollars (USD) on the United States store. Prices are subject to change without notice. The price charged for an order will be the price in effect at the time the order is placed.

4.2 Taxes

Applicable taxes (including GST, HST, PST, and/or sales tax) will be calculated and added to your order total at checkout based on your shipping address and applicable tax laws. You are responsible for all taxes applicable to your purchase.

4.3 Payment Methods

We accept payment via major credit cards and debit cards, as supported by our payment processor. All payment information is encrypted and processed securely. Experior does not store your full payment card details on our servers.

4.4 Order Confirmation

Upon successful placement of your order, you will receive an order confirmation email. This confirmation is an acknowledgment that we have received your order and does not constitute acceptance of your order. We reserve the right to cancel or refuse any order for reasons including product unavailability, errors in product or pricing information, or suspected fraudulent activity.

5. Shipping and Delivery

5.1 Shipping Destinations

We ship to addresses within Canada and the United States. We are not responsible for orders shipped to incorrect addresses provided by the Customer.

5.2 Shipping Times

Estimated shipping times are provided at checkout and are approximations only. Actual delivery times may vary depending on the shipping carrier, your location, and circumstances beyond our control, including customs processing for cross-border shipments.

5.3 Shipping Costs

Shipping costs are calculated at checkout based on the weight, dimensions, and destination of your order. Shipping charges are non-refundable unless the return or refund is due to our error.

5.4 Risk of Loss

Risk of loss or damage to products passes to you upon delivery to the shipping carrier. We are not liable for lost, stolen, or damaged packages once they have been accepted by the carrier. If your package is lost or damaged in transit, please contact the carrier directly.

5.5 Customs and Import Duties

For shipments to the United States or other international destinations, you may be subject to customs duties, taxes, and import fees imposed by the destination country. These charges are your responsibility and are not included in the product price or shipping fee. Experior has no control over customs processes and cannot predict what charges may apply.

6. No Returns — Replacement Policy

6.1 No Returns

All sales through the Experior Pro Shop are final. We do not accept returns or exchanges. Once an order is placed and processed, it cannot be cancelled, returned, or exchanged.

6.2 Replacements for Defective or Incorrect Items

While we do not accept returns, we are committed to quality. If your order arrives with a production error or defect — for example, artwork printed in low resolution when high resolution was specified, or an incorrect item was shipped — we will send a replacement at no additional cost to you. Replacement requests must be submitted to us within 7 days of delivery, accompanied by a description and photo of the issue. All replacement requests are reviewed on a case-by-case basis and are subject to verification of the defect or error.

7. Store Accounts

You may be required to create an account to access certain features of the Store. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. Experior is not liable for any loss or damage resulting from your failure to protect your account credentials.

We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent or unauthorized purposes.

8. Intellectual Property

All content on the Store, including but not limited to text, graphics, logos, images, product designs, software, and the overall layout and appearance of the Store, is the exclusive property of Experior Financial Group Inc. or its licensors and is protected by Canadian and international intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from the Store without our express written permission. Unauthorized use of Experior’s intellectual property may result in civil or criminal liability.

The Experior Financial Group name, logo, and all related marks, names, and slogans are registered or common law trademarks of Experior Financial Group Inc. Nothing on the Store grants any license or right to use any trademark without our prior written consent.

9. Prohibited Conduct

By using the Store, you agree not to:

  • Use the Store for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to gain unauthorized access to any portion of the Store or its related systems
  • Transmit any viruses, malware, or other malicious code
  • Use any automated means, such as bots or scrapers, to access, monitor, or copy content from the Store
  • Engage in any conduct that interferes with or disrupts the operation of the Store
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Engage in fraudulent transactions or submit false or misleading information
  • Resell or commercially exploit products purchased from the Store without our written consent

We reserve the right to terminate your access to the Store and cancel any pending orders if we determine, in our sole discretion, that you have violated these Terms.

10. Disclaimer of Warranties

THE STORE AND ALL PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EXPERIOR FINANCIAL GROUP INC. DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Store will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that the results obtained from using the Store will be accurate or reliable.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXPERIOR FINANCIAL GROUP INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE STORE OR PURCHASE OF PRODUCTS, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall our total liability to you for all claims arising out of or relating to your use of the Store exceed the amount paid by you for the specific product(s) giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Experior Financial Group Inc. and its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Store; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any content you submit or transmit through the Store.

13. Third-Party Services and Links

The Store is hosted and powered by Shopify, a third-party e-commerce platform. Your use of the Store is also subject to Shopify’s terms of service and privacy policy. Experior is not responsible for the practices or content of third-party platforms.

The Store may contain links to third-party websites. These links are provided for your convenience only and do not constitute an endorsement of those websites. We have no control over the content of linked websites and accept no responsibility for them or for any loss or damage that may arise from your use of them.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

14.2 Jurisdiction

For customers located in Canada, any dispute arising out of or in connection with these Terms or your use of the Store shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.

14.3 U.S. Customers

For customers located in the United States, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Store shall be resolved by final and binding arbitration, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies. The arbitration shall be administered by JAMS in accordance with its applicable rules and shall take place in Buffalo, New York. You agree that any dispute resolution proceedings will be conducted on an individual basis only and not as part of a class, consolidated, or representative action. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction where necessary to protect its rights.

14.4 Informal Resolution

Before initiating any formal dispute resolution process, we encourage you to contact us directly to attempt to resolve the matter informally. Many issues can be resolved quickly through direct communication with our team.

15. Force Majeure

Experior Financial Group Inc. shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, civil unrest, labor disputes, government action, power failures, or disruptions to internet or telecommunications infrastructure.

17. Severability and Entire Agreement

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy and any other policies posted on the Store, constitute the entire agreement between you and Experior Financial Group Inc. with respect to your use of the Store and supersede all prior agreements, representations, and understandings.
